The Vice President shall: • Act in the place and stead of the president in the event of absences, inability or refusal to act. • Attend to such other duties as may be required by the board. The Secretary shall: • Record the votes and keep the minutes of all meetings and proceedings of the board. • Keep the corporate seal of the Association and affix it on all papers requiring said seal. • Serve notice of meetings of the board and of the members. • Perform such other duties as required by the board. The Treasurer shall: • Receive and deposit in appropriate bank accounts all monies of the Association and disburse such funds as directed by the board. • Sign all checks and promissory notes. • Keep proper books of account. Contract with the public accountant the preparation of an annual review of the books. • Prepare a statement of income and expenditures for the members. • Prepare and distribute to the members 30 days before the annual meeting an annual budget for approval at the meeting. The Legal Officer shall: • Act as the primary liaison with the Association legal counsel. • Sign legal documents for the Association. • Pursue legal action per the Restrictive Covenants and at the direction of the board of directors.
